Genband has won the bidding to acquire Nortel's Carrier VoIP and Applications business (CVAS). Genband will pay a net price of USD 182 million for the assets, and has partnered with One Equity Partners and other existing shareholders to finance the deal. The Genband offer was first announced in December, and Nortel made a call for other bids, due by 23 February. Nortel said that it decided to not hold an auction for the activities, suggesting no other substantial offers were made. The acquisition will combine Genband's media, session and security gateways with Nortel's softswitch, media gateway and application technologies. The purchase includes substantially all product platforms, all patents predominantly used, and other IP exclusively used in Nortel's CVAS business, including softswitching, gateways, SIP applications, and TDM products and services. Substantially all of Nortel's CVAS customer contracts and employees will also transfer to Genband. The companies aim to close the deal by the end of the second quarter.
